Refund & Cancellation Policy
This policy explains refund eligibility, cancellation terms, and related project conditions for custom service engagements with Adam Technology.
1. General Refund Conditions
Given the custom-built, service-based nature of work provided by Adam Technology, full project refunds are not typically applicable. Payments made are generally non-refundable. However, under the specific conditions outlined below, partial refunds or project credits may be considered.
2. Kickoff Payment Refunds
A full refund will be issued to the Client if a cancellation request is submitted within 72 hours of signing the agreement, provided that Adam Technology has not yet assigned a project manager and/or development team to the project. If a project manager and/or team has already been assigned and this has been communicated to the Client by email, no refund will apply, even if the request is made within the 72-hour period.
3. Milestone-Based Payments
Milestone payments are made following Client review and acceptance of deliverables at each stage of the project. Once a milestone payment is received, it is deemed that the Client has approved the corresponding work, and such payments become non-refundable.
4. Replaceable Token Credit Policy
If the Client wishes to replace their current project idea with a new one, the following terms apply:
Within 14 days of initiating the project: a new project of similar scope may be started at no additional cost, provided that no significant rework or additional effort is required. In this case, the original payment amount will be credited to the new project in the form of redeemable tokens.
Between 14 days and 4 weeks: 50% of the total project amount will be charged, and the remaining 50% will be converted into redeemable tokens applicable to a future project.
After 4 weeks: 75% of the project amount will be charged, and the remaining 25% will be converted into redeemable tokens.
Monetary refunds will not be issued under this policy. Token redemptions must align with a project of comparable scale and effort.
5. Refund Processing
All approved refunds (if applicable) may take up to 30 business days from the date of confirmation. Refund requests must be submitted in writing to Adam Technology at info@adamtechnology.ae and will be acknowledged within 5 business days.
6. Client Obligations and Content Responsibility
All website content (including but not limited to text, images, videos, and other media) must be provided in full by the Client before work commences. The Client is responsible for maintaining proper backups of all pre-existing site content.
Adam Technology is not responsible for any loss, corruption, or damage to data that occurs due to Client-side omissions or during project execution, except where directly caused by Adam Technology's gross negligence or willful misconduct.
7. Scope and Ownership of Work
Unless otherwise agreed in writing and specifically included in the service agreement, Adam Technology is not responsible for data entry, web hosting services, or custom artwork or graphic design supplied by the Client.
Unless a separate ownership transfer is agreed upon in writing, Adam Technology's pre-existing materials, tools, and reusable components remain the intellectual property of Adam Technology and/or its suppliers. Project-specific deliverables are governed by Section 16.
8. Timelines and Delays
Adam Technology will use reasonable efforts to meet agreed delivery timelines. However, unforeseen circumstances—such as third-party service issues, resource unavailability, deployment delays, or technical roadblocks—may affect schedules. Adam Technology will communicate such delays and provide revised timelines where necessary.
9. Review and Acceptance of Deliverables
The Client will have the opportunity to review and approve project outputs during and after each stage. Adam Technology will allow 7 calendar days for feedback on shared deliverables. If no response is received within this period, the deliverables will be deemed automatically approved.
10. Copyright and Third-Party Content
The Client retains ownership of all original materials provided, including logos, content, and media, and grants Adam Technology the necessary rights to use them during the project.
The Client is responsible for ensuring that all third-party content used in the project is properly licensed. The Client agrees to indemnify and hold harmless Adam Technology from legal claims or liabilities arising from the Client's unauthorized use of such content.
11. Post-Launch Changes
After deployment, Adam Technology is not responsible for modifications made by the Client or third parties, including content additions, deletions, or design or code alterations. Any required fixes may incur additional charges.
12. Project Cancellation
If the Client cancels the project after work has begun, a cancellation fee will apply based on the amount of work completed. Non-payment of such fees or any outstanding balances may result in legal action.
13. Support and Third-Party Tools
Adam Technology provides 30 days of complimentary post-launch support, limited to bug fixes and basic email support. Support does not cover architecture changes, new feature development, or design enhancements. After the free period, support is available through paid support packages, with discounts available for larger commitments.
No warranties are provided on third-party tools or services used in the project. Upgrades to such services fall outside the standard project scope and may require additional time and cost, subject to feasibility.
14. Rework, Enhancements, and Billing
Any features or changes not part of the original scope will be treated as additional work and billed accordingly. This includes change requests after wireframe or design approval, rework or revisions at later development stages, and enhancements or custom feature additions.
Adam Technology will notify the Client of any such items before implementation. All invoices must be paid in full by the due date, without deductions, set-offs, or delays.
15. Limitations of Liability
Adam Technology provides services using reasonable care and expertise but makes no guarantees regarding the uninterrupted availability of services, accuracy or performance of deliverables, or timeliness or fitness for a particular purpose.
To the fullest extent permitted by law, Adam Technology, its employees, and affiliates disclaim liability for direct, indirect, or consequential damages, loss of data, content, or business value, and claims by third parties, except in cases of gross negligence or willful misconduct causing personal injury or death.
16. Project Approvals and Deliverables
Project work will proceed in phases. Each phase will begin only after written approval and payment for the preceding phase. Upon final approval and full payment, all agreed source code and deliverables will be transferred to the Client, who will own those deliverables thereafter.
Unless the Client submits a written request to withhold publication in advance and Adam Technology agrees, Adam Technology reserves the right to showcase the completed project in its portfolio or marketing materials.
17. Severability
If any clause of this agreement is found to be invalid, illegal, or unenforceable, the remaining clauses will remain in full effect. The parties will replace the invalid clause with a valid alternative that closely reflects the original intent.
